(collectively, the "Websites").

By accessing or using the Websites, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Websites.

1. Purpose of the Websites

The Websites provide information regarding:

Nelle;
our products and services;
demonstrations and trial offerings;
educational materials;
webinars and events;
blog articles and thought leadership content;
marketing materials;
customer support resources; and
other related information.

Certain products, services, and functionality may be governed by separate agreements, including subscription agreements, order forms, enterprise agreements, terms of service, acceptable use policies, or other legal terms.

Where a separate written or online agreement applies, that agreement governs to the extent of any conflict with these Terms.

All such offerings may be modified, limited, suspended, or withdrawn at any time.

Unless expressly stated otherwise, demonstrations, trials, and beta offerings are provided on an "as-is" and "as-available" basis without warranties of any kind.

Except for rights expressly granted under these Terms, all rights are reserved by Made It.

Without limitation, we own or license rights in:

related intellectual property.

The Nelle name, branding, logos, and related marks are the property of Made It Enterprises Inc. or its licensors.

9. Limited License

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Websites in accordance with these Terms.

You may not reproduce, distribute, publicly display, commercially exploit, modify, create derivative works from, or otherwise use Website content except as expressly permitted by law or with our written consent.

10. Feedback

If you provide feedback, comments, suggestions, ideas, enhancement requests, or recommendations regarding the Websites or our products and services, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, adapt, commercialize, and otherwise exploit such feedback without restriction or compensation.

You may submit information to us through forms, registrations, chat tools, contact pages, demo requests, surveys, event registrations, or other Website functionality.

You represent and warrant that:

you have the right to provide the information;

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADE IT ENTERPRISES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE WEBSITES SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions may not permit certain limitations of liability. In such cases, the limitations shall apply to the maximum extent permitted by law.

18. Indemnification

You will indemnify, defend, and hold harmless Made It Enterprises Inc., its affiliates, officers, directors, employees, contractors, and agents from and against any claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising from:

19. Termination

Sections that are intended by their nature to survive termination shall survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution provisions.

20. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Websites shall be brought exclusively before the courts located in Alberta, Canada.

You irrevocably attorn to the jurisdiction of those courts.
